Controlling terms

Buyer expressly agrees that Seller’s Invoice and these Terms and Conditions of Sale represent the complete agreement of the parties with respect to the sale of the product(s) listed on the Invoice and no different or additional terms or conditions in Buyer’s purchase order or in any other prior or subsequent communications in any way adding to, modifying or otherwise changing these Terms and Conditions of Sale shall be binding upon Seller.

Accounts

In order to use certain services on the Site, Buyer will need to create an account.  All the information Buyer provides when he/she creates the account must be true, accurate, current and complete. Buyer is responsible for all activity in his/her account, so Buyer should secure and protect his/her login information and password.

Offers

We offer two kinds of services:

1) B2C retail of electronic or digital equipments intended for everyday use by Asian community in America and Canada. Our products include but not limited to HDMI Adapters, kitchen electronics, Security Camera, Security Door Lock, etc. 

2) Third party coupons, deals, advertisements and other offers on the Site (“Offers”). Offers are for products and services provided by third parties (each, a “Seller”), and if you choose to accept an Offer, the transaction will be between you and the Seller.

Acceptance of orders

Seller may accept buyer’s offer to purchase and shall be bound to supply the applicable Goods in accordance with these terms and conditions either by execution of the acknowledgment copy of the order, or acceptable electronic transmission, delivery of the Goods to US and Canada by any other statement, act or course of conduct which constitutes acceptance under applicable law.

Prices

Unless otherwise indicated on the face of the invoice, all prices are quoted on a per piece/set basis. Buyer is responsible for any tax or government charges imposed upon the sale or transfer of the Product. Buyer shall not have any right to set off any amounts due hereunder against any amounts which may become payable to Seller under any other agreement.

Delivery

Unless otherwise agrees in writing signed by officer of Seller, all delivery dates are estimates. Seller shall use its reasonable efforts to deliver all Product within the time specified; however, in no case shall Seller be liable for any expense, loss or damage whatsoever suffered by Buyer as a result of the Seller’s failure to deliver Product by the specified date.

Cancellation 

All products directly sold on our websites are original and authentic from brand producers, so these products are well recognized by market and have guaranteed quality.

Any order placed with and accepted by Seller may be canceled by Buyer within 14 days of the ordering. If a product has already been delivered to a carrier, Buyer still can cancel the order whereas Buyer will pay the postage fee to send the product back to Seller.

Returns & Replacements

Within 7 days from the delivery date, if the product has quality problem like product works improperly, damaged during delivery, wrong product, Buyer can get an exchanged without any fee; if it is not the product quality problem, Buyer can return the product by bearing their own postage fee. Buyer has 7-day trial period after delivery date, if the product has been used by Buyer for more than 7 days, a fee that equals 20% of the product invoice price will be charged to Buyer by seller. If the product has no quality problem but are improperly used Buyer such as using under high voltage, smashing with a hammer, scratching with a knife, or damping in water, Seller will not accept the return or replacement request. After the product that Buyer is returning has been received and checked, Seller will refund Buyer in 48 hours. Seller does not response for the lost if package lost during the process of returning.

Warranty Period and Repairs

Warranty period for most products is one year. If a product has any quality problems or technical problems after 14 days of delivery, Seller will repair the product for Buyer for free; if after 14 days but within one year of delivery, Seller will repair but will not bear the repairing cost. After two years of ordering, Seller will only provide technical support on a product.   

Transportation and risk of loss

The method and route of shipment are at Seller’s discretion unless Buyer timely supplies explicit instructions otherwise. Title to the Product passes to Buyer when Product is delivered to the selected carrier, even if Seller made a nonconforming tender. Buyer attempts to revoke acceptance of the Product, or Buyer repudiates this document after the Products have been identified hereto.

Taxes

Buyer is responsible for any tax or governmental charge imposed upon the sale or transfer of any product. Any such tax or governmental charge will be added to the total invoice amount.

Warranty and disclaimer

Seller warrants that the purchased Product is free from defects in materials and workmanship at the time of delivery. If an analysis is stated on the face of the Invoice, it is not intended to be a complete analysis and is not to be regarded as a specification or warranty, unless specifically stated in writing to be such.

Limitation of liability

Buyer acknowledges and agrees that seller’s liability for any claims with respect to the products shall not exceed the amount paid by buyer for the products under the invoice. Such limitations on seller’s liability hereunder shall apply even if seller’s liability is due in whole or in part to its own negligence. Any action by or on behalf of Buyer or its successors or assigns for breach of this document must be commenced within one (1) year after the cause of action as accrued.

Indemnity

Buyer shall defend, indemnify and hold harmless Seller and its affiliated or related companies from and against any and all claims, losses, liability, damages and expenses including, but not limited to, attorneys’ fees and cost of defense arising from, related to or in any way connected with or alleged to arise from or out of any asserted deficiencies or defects in Product caused by any alteration or modification thereof by Buyer with or without Seller’s consent, or improper handling or storage by Buyer, the breach of any term or condition stated herein, Buyer’s failure to label Product or Buyer’s improper labeling of Product regardless of whether the labeling was done with or without the advice of Seller, or any act or omission of Buyer including any Claims for or resulting from any injury to person (including death) or damage to property or for economic loss, several or comparative negligence, breach of agreement, breach of warranty or other breach of duty of or by Indemnitee or as a result of Indemnitee’s strict or other product liability. The foregoing indemnification shall not be construed to eliminate or in any way reduce any other indemnification or right which Indemnitee has by law.

Payment

Buyer will not be charged when adding products into the shopping cart. After Buyer has confirmed the desired items and quantities in the shopping cart, Buyer can check out either as a guest or by creating an account. For each order, full payment is required before Seller ship the products to Buyer. All the payments will be transacted through credit card (Visa, Master Card, American Express, Discover), paypal, or Amazon Pay. 

Failed/declined payment 

Seller will not ship the products to Buyer if the payment fails or be declined. A payment may fail or be declined for any of the following reasons:

1. Wrong information on billing address or card information
2. Reaching a payment processor's monthly purchasing limit
3. Issues with the bank/credit card account, like not enough funds
4. Buyer enters a billing address in one country but are physically in another
5. Other issues with Buyer’s location, billing address, cards, PayPal, or Amazon account
6. Other problems with Buyer’s internet browser
   
   

Governing law and arbitration

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without reference to conflicts of law rules, and you consent to exclusive jurisdiction and venue in the courts located in Brazoria County, Texas for all matters in connection with this Agreement or your use of weJupit.com.
